These Terms of Service ("Terms") govern your access to and use of Pixla's websites, online services, APIs, and related offerings (collectively, the "Services"). By accessing or using the Services, or by clicking to accept these Terms, you agree to be bound by them. If you are using the Services on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to that organization. If you do not agree, do not use the Services.

1. Eligibility and Accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract to use the Services. Some Services require an account or API key. You are responsible for the accuracy of your registration information, for keeping your credentials confidential, and for all activity under your account or API key. Notify us promptly at security@pixla.app of any unauthorized use.

2. Definitions

• "Services" — the Pixla Hosting platform, the Pixla Mail platform, the Pixla websites, and any related APIs, dashboards, or tools.
• "User Content" — any code, applications, data, files, templates, email content, recipient lists, domains, or other materials you upload to, deploy through, or generate using the Services.
• "Subprocessor" — a third party engaged by Pixla to process data or provide infrastructure in support of the Services (see Section 8 and the Privacy Policy).

3. Description of the Services

• Pixla Hosting — a managed hosting platform that builds, deploys, serves, and routes web applications and sites, including Vapor applications deployed via Vaporware. Backend compute for application ("runtime") deployments is provided via Fly.io, with managed PostgreSQL databases provided via Neon; static content delivery is provided via Cloudflare.
• Pixla Mail — a platform for creating and sending email campaigns and newsletters to recipients you manage.
• Pixla websites — informational and account-management websites for the Pixla family of products.

Pixla may modify, add, or discontinue features of the Services at any time. Beta or preview features are provided "as is" and may be changed or withdrawn without notice.

4. Subscriptions, Fees, and Billing

Certain Services or tiers are offered for a fee. By subscribing to a paid plan, you authorize Pixla and its payment processor (Stripe) to charge the applicable fees.

• Plans and pricing are as described at the point of purchase or at https://pixla.app/pricing.
• Auto-renewal. Subscriptions renew automatically for successive periods unless cancelled before the renewal date. You may cancel at any time; cancellation takes effect at the end of the current billing period.
• Taxes. Fees are exclusive of taxes; you are responsible for applicable taxes.
• Refunds. Except where required by law, fees are non-refundable, including for partial billing periods and already-incurred usage-based charges. You may cancel at any time and will keep access through the end of the paid period. As a courtesy, Pixla offers a 14-day money-back guarantee on a customer's first subscription payment.
• Usage-based charges. Some Services (e.g., Hosting compute, bandwidth, or email volume) may incur usage-based fees; you are responsible for charges incurred under your account.
• Non-payment. We may suspend or terminate paid Services for failed or overdue payments.

5. Acceptable Use

You agree not to use the Services to:

(a) violate any law or regulation, or infringe any third party's intellectual-property, privacy, or other rights;

(b) upload, host, deploy, or transmit malware, or content that is unlawful, defamatory, harassing, or that exploits minors;

(c) attempt to gain unauthorized access to, disrupt, or overload the Services or their infrastructure, or circumvent usage limits or security controls;

(d) use the Services to mine cryptocurrency, run disproportionate background/compute workloads, or otherwise abuse shared resources beyond your plan's fair-use limits;

(e) resell or provide the Services to third parties except as expressly permitted; or

(f) engage in any activity that imposes an unreasonable burden on the Services or on our Subprocessors.

5.1 Additional rules for Pixla Mail (anti-spam)

If you use Pixla Mail, you additionally agree that:

• you will send email only to recipients who have consented to receive it from you, and you are solely responsible for having and documenting that consent;
• every message will comply with all applicable anti-spam and email laws, including the U.S. CAN-SPAM Act, Canada's CASL, and the EU GDPR/ePrivacy rules, as applicable;
• you will include a functioning unsubscribe mechanism and a valid physical postal address, and will honor opt-outs promptly;
• you will not send unsolicited bulk email, purchased or scraped lists, or prohibited content — including pornographic or sexually explicit material; gambling or lotteries; illegal drugs, weapons, or other illegal goods or services; multi-level-marketing, pyramid, or "get-rich-quick" schemes; cryptocurrency, token, or other high-risk investment offers; phishing, malware, or deceptive content; and content that is hateful, harassing, or promotes violence; and
• Pixla may enforce sending limits, throttle, or suspend accounts to protect deliverability and prevent abuse. Pixla does not guarantee inbox placement or deliverability rates.

You are the controller of your recipients' personal data; Pixla processes it as your processor under the Privacy Policy and any applicable Data Processing Addendum ("DPA") at https://pixla.app/legal/dpa.

5.2 Additional rules for Pixla Hosting

You are responsible for the legality and operation of the applications and content you deploy, for securing your own application-level credentials, and for compliance of your deployed workloads with the Acceptable Use rules. Custom domains, DNS, and TLS provisioning are subject to the Service's technical requirements and third-party infrastructure availability. Pixla is not a backup service; you are responsible for maintaining your own copies of your source and data.

6. User Content

You retain all ownership of your User Content. You grant Pixla a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, display, build, and process your User Content solely as necessary to provide and maintain the Services, to prevent abuse, and as otherwise permitted by the Privacy Policy. You represent that you have all rights necessary to grant this license and that your User Content does not violate these Terms or any law. You are solely responsible for your User Content.

7. Intellectual Property

The Services, including their software, design, and Pixla trademarks, are owned by Pixla and its licensors and are protected by law. Except for the limited rights expressly granted to you, no rights are granted. You may not use Pixla's trademarks without prior written permission. Feedback you provide may be used by Pixla without restriction or obligation to you.

8. Third-Party Services and Subprocessors

The Services rely on third-party infrastructure and Subprocessors, which may include Fly.io (application runtimes), Neon (managed PostgreSQL databases), Cloudflare (content delivery and network security), Stripe (payment processing), and Amazon SES (Amazon Web Services) (email transmission). Your use of the Services may be subject to those providers' terms, and their availability may affect the Services. 9. Service Availability

We strive to keep the Services available but do not guarantee uninterrupted or error-free operation. Unless a separate written Service Level Agreement is in effect, the Services are provided without any uptime commitment. We may perform maintenance, and may suspend the Services as needed to protect their integrity or security.

10. Suspension and Termination

You may stop using the Services and close your account at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, fail to pay fees, create risk or legal exposure for Pixla, or use the Services in a way that harms others or our infrastructure. Upon termination, your right to use the Services ceases and we may delete your User Content after a reasonable period, subject to legal retention requirements and the Privacy Policy. Sections 6, 7, and 11 through 17 survive termination.

11. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. PIXLA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DATA WILL NOT BE LOST OR CORRUPTED.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PIXLA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. PIXLA'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID PIXLA FOR THE APPLICABLE SERVICE IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

13. Indemnification

You will indemnify, defend, and hold harmless Pixla and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your User Content, your use of the Services, your violation of these Terms, or your violation of any law or third-party right.

14. Privacy

Pixla's handling of personal data is described in the Pixla Privacy Policy at https://pixla.app/legal/privacy, incorporated by reference.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified by posting the updated Terms with a new effective date and, where appropriate, by additional notice. Your continued use of the Services after changes take effect constitutes acceptance.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Tennessee, USA, without regard to conflict-of-laws rules. The exclusive venue for disputes not subject to arbitration shall be the courts located in Knox County, Tennessee, and the parties consent to jurisdiction there. 17. General

These Terms, together with any order, plan terms, DPA, and the Privacy Policy, are the entire agreement between you and Pixla regarding the Services. If any provision is unenforceable, the rest remains in effect. We may assign these Terms in connection with a merger, acquisition, or sale of assets; you may not assign them without our consent. Our failure to enforce a provision is not a waiver. Nothing here creates a partnership or agency relationship.
